Background
On September 17 the SEC issued a temporary, conditional order that exempts certain venues from the definition of an exchange when they offer permissioned automated market maker pools for eligible tokenized National Market System (NMS) stocks.
Key provisions
The order requires that for any eligible tokenized share the venue must verify the same rights and privileges as traditional stock, including an interest in the company, dividends, voting rights and a claim to residual assets on liquidation.
At the same time, venues operating under the exemption are outside the exchange, alternative trading system and trading‑center framework for Regulation NMS rules, meaning they are not subject to protections such as Rule 611’s ban on trades at prices worse than protected quotations elsewhere.
The order also mandates venue disclosures about external price data or oracles, requires concurrent stoppages when the underlying stock halts on its primary exchange, and preserves applicable anti‑fraud and anti‑manipulation laws.
Implications for investors
Investors must examine both what the token represents and how their order is priced and handled, because best‑execution duties remain with FINRA‑member brokers while the venue itself may lack certain market‑structure safeguards.
Market‑data provider Douro Labs, which contributes to Pyth Network and operates Pyth Pro, asked SEC staff for provider‑neutral principles to assess external price feeds, highlighting a commercial interest in the standards under discussion.
